Anthropic said on 1 June 2026 that it had confidentially submitted a draft Form S-1 to the US Securities and Exchange Commission for a proposed common-stock IPO. It said the filing gives it the option to go public after SEC review.
What is known.
Anthropic has not set an offer price or number of shares in that announcement, and it said any offering depends on market conditions and other factors. The forecast requires actual first trading on a US exchange, not merely a filing.
Why it is a possibility.
The confidential submission is a concrete preparatory step toward a listing, supporting a better-than-even estimate for a 2026 trading debut.
SEC review, pricing, and market conditions remain unresolved. Anthropic can also defer the transaction, so a draft S-1 by itself is far from a guaranteed listing.
What could prevent it.
Anthropic says any offering depends on market conditions and SEC review; timing is unannounced.
How it will be assessed.
Resolves yes if Anthropic common shares first trade on a US national securities exchange on or before 31 December 2026 following an SEC-registered initial public offering. A confidential filing, public prospectus, or private-market trade alone does not count.
